This Terms of Service ("Agreement") is a legal agreement between the user (“USER”) and Brandeis University (“BRANDEIS”) governing the access to and use of the NMRexpertAI website ("Website") and the associated NMRexpertAI tool ("Tool"), developed by Prof. Pengyu Hong and Yunrui Li. By accessing or using the Website or Tool, you agree to be bound by the terms of this Agreement.

1. DEFINITIONS

1.1 "Website": The online platform hosted by BRANDEIS that provides access to NMRexpertAI and related resources.

1.2 "Tool": The scientific tool, protected by patent and copyright, that analyzes research data and is accessible via the Website.

2. LICENSE GRANT

2.1 BRANDEIS grants USER a limited, non-transferable, non-exclusive license to use Tool solely for internal research purposes and not for commercial use.

2.2 This Agreement does not grant any ownership rights in the Website, Tool, or any underlying intellectual property.

3. USE OF WEBSITE AND TOOL

3.1 USER must register and agree to this Agreement to access the Tool.

3.2 USER shall not

1. a) Modify, adapt, or create derivative works of the Tool or Website.
2. b) Share access credentials, transfer, or sublicense the Tool or Website to third parties.
3. c) Use the Tool for commercial purposes, including contracted research services, without explicit licensing from Brandeis.

3.3 BRANDEIS reserves the right to suspend or terminate USER’s access to the Website or Tool in case of any violation of this Agreement.

4. INTELLECTUAL PROPERTY

4.1 The Tool and Website, including all associated intellectual property rights, remain the exclusive property of BRANDEIS.

4.2 USER acknowledges that the Tool is patent-protected and may not be used or distributed in any manner inconsistent with this Agreement.

5. WARRANTY DISCLAIMER

The Website and Tool are provided “AS IS” without warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. BRANDEIS does not guarantee that the tool will meet USER’s requirements or that access will be uninterrupted or error-free.

6. INDEMNIFICATION AND LIMITATION OF LIABILITY

6.1 USER agrees to indemnify and hold harmless BRANDEIS, its employees, and affiliates from any claims or damages arising from USER’s use of the Website or Tool.

6.2 In no event shall BRANDEIS be liable for indirect, incidental, or consequential damages arising out of this Agreement.

7. USE OF NAME

USER may acknowledge BRANDEIS as the source of the NMRexpertAI in publication using the following citation:

USER may not use BRANDEIS’s name, trademarks, or personnel for promotion without prior written consent.

8. GOVERNING LAW

This Agreement is governed by the laws of the State of Massachusetts, without regard to its conflict of law principles.

9. TERMINATION.

9.1 This Agreement is effective upon USER’s registration and remains in effect until terminated by either party.

9.2 BRANDEIS may terminate this Agreement immediately upon USER’s breach of its terms.
